General Business Conditions

1. Introduction
If Magyar Filmlaboratórium Kft. (hereinafter: MFL) does not sign a written agreement apart from confirmation of order, the following conditions apply to jobs carried out by MFL. Any additional agreement is considered part of theseGeneral Contracting Conditions, and thus the two are valid together.
 
2. Order, deadline
MFL accepts orders only in writing on the basis of which an internal work record, with the list tasks to be carried out, will be prepared. Orders have to be signed by Client (or any person assigned by Client). If Order or a previous agreement do not include prices, all costs relating order are to be based on list prices. MFL will only start work after a Work Record is signed by Client. Orders placed by phone will be confirmed in writing by MFL in the way demanded by Client (letter, fax, e-mail).

The person who submits the job requirements is considered by MFL to be the person authorised to sign Orders and Work Records. Orders and Work Records are produced in 4 copies, of which the first one is MFL’s copy and the second one is the Client’s copy. On Client’s copy MFL’s authorised representative certifies accepting the Order and its requirements and, when the job is collected by the Client or a representative of the Client, this is certified on this copy as well. Deadlines are accepted by MFL based on particular written agreement. MFL can keep deadlines if Client delivers all sources and requirements needed for processing to MFL’s representative in a proper form, quality and in due time, together with a written order.

  • Dailies processing: MFL will undertake to make film or video dailies from the supplied negativeswithin a 24 hour period.
  • In case of a large quantity or more complex (multi-phase) jobs, particular deadlines can be agreed upon in writing.

If Client requires the jobs to be done in accordance with deadlines that fall beyond the working hours indicated in the information brochure, MFL is entitled to add extra technical charges upon agreement in each particular case.

3. Prices
MFL posts its prices every year. Unless a particular agreement is in effect, the valid prices of MFL are the ones indicated in the MFL price list, which are net prices. MFL reserves the right to modify its prices during the year. Modified prices will be displayed at MFL’s customer service, and these will be valid following their posting. Minimum sum to be charged is 20 EUR.

If required by Client, MFL will prepare a cost estimate, but invoicing will be based on real works done and effectively used materials.

4. Handling of completed products, invoicing
Completed products are released over at MFL’s premises. MFL has the right to invoice the jobs done by the deadline regardless of when the Client collects the completed product.

Representative of Client should certify their authorisation to collect completed products using the Client’s order copy. If this copy is not available, a written authorisation is needed to prove the entitlement (unless Client collects products in person).

Client should identify products on basis of Order (product identity, title, quantity).

In case of any discrepencies, immediate complaint can be filed. This complaint will be registered with MFL’s customer service.

5. Form of payment
If the parties agree upon partial service, MFL is entitled to invoice partial jobs. In case of services taking more than one month MFL is entitled to issue an invoice following the end of each month.

If no agreement prescribes otherwise, payment is due within 8 working days following the issue of invoice. In case of delay in payment, MFL has the right to require cash or advance payment for further works or orders.

6. Payment delay interest
The payment delay interest rate is twice the basic interest rate of the official interest rate of the Hungarian National Bank (MNB). Client accepts the fact that MFL is entitled to impose a lien on Client’s materials in case of unsettled invoices.
 
7. Quality, responsibility, compensation
In case of materials delivered for processing having exceeded the warranty deadline MFL takes no responsibility for poor quality of final products. In case any damaged negatives are noticed by MFL, the Client is informed of processing risks, but MFL will take no responsibility for the condition of the materials. Deadlines agreed upon earlier are not valid in case of damaged materials. Particular agreements regarding the processing deadlines of these materials are needed.

MFL guarantees the products processed by them are in conformity with internationally accepted standards and practice.

MFL prepares a report about the physical and photographic condition of negatives and other elements received, and MFL will further on accept responsibility for the quality of completed products on the basis of this report.

If the Client finds part or all of the products in an improper condition, they must report this immediately to MFL and send the material back for further investigation.

If MFL confirms the fault and takes responsibility, MFL either makes the necessary corrections of the faulty item or replaces it.

No quality complaint is accepted after 8 days have elapsed since the collectionof products.

MFL takes responsibility only for the damaged part in the original material if damage is caused by MFL, and in such case MFL replaces the damaged or lost parts in the damaged material adhering to the right length and quality of the parts in question.

MFL is not responsible for compensation of manufacturing and/or indirect costs. In this respect MFL suggests that Client insures the products to be processed against possible risks .

Client undertakes to follow the relevant laws with respect to the materials deliveredor ordered by him. MFL takes no responsibility for the Copy Right or property rights of materials submitted by Client.

8. Storage
MFL releases completed products to Client or deposits them for Client to collect.

If materials (unused negatives, montage elements and accessories of sound processing, video tapes and other accessories) are not collected within 30 days, MFL undertakes to store them for 6 months, for which a storage charge is required on basis of the price list in effect.

After 6 months have elapsed no responsibility can be claimed for the stored materials, which will then be handed over to the Hungarian National Film Archive. If Film Archive does not undertake the storage of the materials, they may be destroyed by MFL, for which no compensation can be claimed, and no responsibility can be taken for poor quality resulting from a storage exceeding 6 months. Any works done by electronic montage will be deleted within 3 days after materials collected in case of non-continuous service. Jobs can be archived against a certain charge if required.

9. Definitions

Film processing
Meter length applied in the invoices will include the length of the beginning and end leaders necessary for the material, which length therefore is not identical with the running time.
 
Negative cut by keykode cut list
- the cut list includes the keykod of the first and last frame of each take (Assembly list)
- the timecode of each take (Record TC)
- fades and dissolves (List of opticals)
- list for the camera/lab roll negative preparation and selection for cut (Pull list)
- rolls to be divided as follows: 16mm - 10 minutes, in maximum of 120m, 35mm - 20 minutes, in maximum of 600 m

One light rushes
Positive print by one light printing, without any change in the printing values, from the original camera negatives after joining them into lab rolls.

Zero copy
The first positive copy, printed in lab, from a cut negative or optically printed or digitally recorded negative, or any edited negative delivered to lab by client. The zero copy is used for control of negative cut, sound sync, first grading, therefore mostly unsuitable for distribution.

Correction copy
The copy, which contains the necessary color and light corrections compared to the previous print.

Check print
The first positive copy from an internegative (IN).

Release prints
The prints which do not need further color and light corrections.

Terms of laser subtitling
During the subtitling, the subtitles, in Helvetica font, are positioned to the center at the bottom of the image, at the standard title heigth (cinemascope, 1:1.37, 1:1.66, 1:1.85) specificated by the client, in all length of the film.

There is a possibility to place certain subtitles into different heights on picture (e.g. at inserted texts, main titles, etc.) and, also to make special squeezed subtitles for cinemascope films.

Necessary elements for the subtitling
Spotting list in the language of the subtitling.

The spotting list contains
- dialogue titles
- maximum two lines in one dialogue title
- maximum 40 characters including space, etc. in one line (32 in case of capital letters only)
- each specially-positioned dialogue titles to be clearly marked
- each specially- white-backgrounded dialogue titles to be clearly marked
- the number of order for each title
- the place of entry of the title (feet and frames)
- in case spotting list is made by video, 25 fps is recommended, and timecoded spotting list needed

The minimal length of titles or space between two titles is eight frames.
The place of entry/exit of titles can be at full or half feet – the spotting list will indicate 00 or 08 as frames.
Due to the technology, a +/- 2 frames difference at the place of entry/exit of titles may emerge between the spotting list and the print. The numbering of titles and the indication of place of entry/exit of titles must be started at 0 in case of each roll.

Control print
Each reel of control print must contain the start frame (zero frame) for the subtitling and the enter frame of the first title, both clearly marked. This information must be clearly indicated at the base side of the control print.

Print for subtitling
No protective layer or wax or lacquer can cover the print.
The physical condition of the prints must be new or in good condition.
In case the prints for subtitling are supplied to MFL by the Client, MFL will control the physical quality and, if possible, will correct the damages before the subtitling process on Client’s costs.
In case of damages found not correctable, MFL denies the subtitling and informs the Client immediately.
At subtitling trailers, if Client supplies incomplete prints (without leaders), MFL will charge special preparation process.
MFL suggests that Client should supply one extra copy at each release when used copies are to be subtitled. Any disadvantages due to the ignorance of this are Client’s responsibility.
MFL does not take responsibility for the dramaturgy.

The control program
MFL stores the control programe for 6 months only. After this period the control program is no longer available. In case customer requires the archival storage of the control program, MFL will undertake to act so upon particular agreement. The control program is considered as a production source by MFL and not accessible to any party.
